TERMS OF BUSINESS

GENERAL TERMS AND CONDITIONS
OF
Commercial Website Design


a) Prices are submitted on behalf of
Commercial Website Design (or nominated Company)
b) All prices contained herein are in pounds sterling.
c) Prices are held firm until the 3
rd April 2011 (Unless otherwise stated)
d) The prices and services are based upon
Commercial Website Design (or nominated Company) Full Terms and conditions of business, insurance and payment (nett strictly 14 days from date of invoice, interest charged @ 7.5% per 30 days thereafter.)

FULL TERMS AND CONDITIONS OF BUSINESS OF WELSH DEER MANAGEMENT
1)
DEFINITIONS
'The 'CLIENT' means the Company, person, firm or any organization to who a quotation or contract document is or are submitted by
Commercial Website Design (Hereinafter called CWD). The 'SCOPE OF WORK' means the services to be performed by CWD for the Client. 'CONTRACT PRICES' mean the prices included in any quotation or schedule attached to a contract. The 'CONTRACT' means any agreement entered into between CWD and the Client for the Work. The 'CLIENT'S REPRESENTATIVE' means the person or person's nominated by the Company's Client having authority to issue instructions relating to the Contract and having been so nominated he or they shall be deemed to have authority to bind the Clients. 'MOBILISATION' means the procurement, preparation and transportation of personnel necessary to carry out the work at either the site of the work or the point of embarkation or the Company's premises (Whichever is applicable).

2) SCOPE OF WORK
The services to be performed by CWD will be indicated either in the quotation or in the schedules to be attached to contract documents.

3) CONFIDENTIALITY
The contents of any CWD communications with any other party, (including but not limited to:- forms, lists, specifications, scopes of work, drawings, sketches, designs, design layouts, quoted prices etc.,) supplied by CWD (and/or any of CWD subsidiary / associate Companies) are considered strictly confidential and for the sole viewing of the addressee / addressees only. Any breach of this confidentiality to any third party will be treated as a serious infringement of the CWD Terms and Conditions of Business and will result in legal proceedings being taken against the person, persons, and/or the company / business responsible for the said infringement.

4) QUOTATIONS/BIDS
Should the work (in whole or in part of the scope of work specified in (2) SCOPE OF WORK) be awarded to a ‘competitor company’ that has quoted a greater price than CWD, then the Company reserves the right to levy all charges associated with the preparation of the quotation/bid against the Client Company.

5) COMMENCEMENT AND COMPLETION OF THE WORK
The starting date of the Contract shall be the date of the commencement of the work or such date as shall be notified to the Client by CWD and the Contract will continue until either all of the work has been performed or other date mutually agreed.

6) CHANGES IN THE WORK
Acceptance by
CWD of the Client's variations to the work shall not prejudice CWD rights to claim a variation in the Contract Price where justifiable.

7) INDEPENDENT CONTRACTOR STATUS
CWD shall perform the work covered by the Contract as an independent contractor.

8) PERMITS AND REGULATIONS
Any quotations submitted by CWD or any entered into with the Client is on the understanding and basis that all necessary permits and/or licences will be obtained at the expense of the Client and that the work can be lawfully performed in accordance with any relevant statutes and regulations by the method proposed or normally used by the Company.

AUTHORITY OF CLIENT'S REPRESENTATIVE
CWD shall at all times be entitled to act on instructions of the Client's Representative but shall have a right to determine the manner of performing the work and shall not be obliged to carry out the work or any part thereof unless satisfied that it is safe to do so.

10)
CLIENT'S DRAWINGS, SPECIFICATIONS ETC.
All client’s drawings and/or specifications will be regarded as strictly confidential and will not be passed on to any third party without the written authority of the client.

11) MATERIALS, APPLIANCES, ACCOMMODATION ETC.
(SUBJECT TO CONTRACT)

PRICES
Unless stated otherwise,
CWD quoted prices will be open for acceptance for thirty days from the date of the quotation., unless otherwise stated.

13)
INVOICING AND PAYMENT
Invoices will be submitted to the Client as soon as possible after completion of the work or at the end of each month. Where applicable VAT or other taxes must be paid at the appropriate rate and will be clearly shown on the invoices. Invoices must be settled in the currency used for invoicing, within FOURTEEN days of the date of invoicing and no deductions or discounts can be made. Interest at 7.5% per month will be charged on all overdue accounts.

COMPANY LIABILITY
CWD shall not be liable for any failure to perform it's obligations under any contract entered into due to strikes, riots, fires, insurrection, war, actions of the elements, embargoes, failure of the Client's contractors, inability to obtain transport facilities, acts of God or any other cause beyond the control of the Company.

15)
HOLD HARMLESS AGREEMENT
CWD shall not, in any event, be liable for the following:-

a) Any loss of or damage, howsoever the same may be caused, to any premises, or goods worked at or otherwise, not for the cost of repairing or replacing the work or any part thereof.
b) Any consequential loss howsoever arising and to whomsoever caused.
c) Any loss of or damage to property as a consequence of any defect or unsuitability of any equipment or material used in the work which has not been manufactured by
CWD, but we will give reasonable assistance to enable the Client to persue appropriate remedies against the manufacturers of such equipment and materials.

16) LIABILITY OF CLIENT
Not withstanding anything herein contained, the Client shall be liable for all loss of, or damage to, property belonging to
CWD or to other parties and for any personal injury to, or any death of, any person caused by the fault of the Client or of his servants or agents.

17)
INSURANCES
CWD shall maintain at no cost to the Client, insurance policies fully complying with it's statutory requirements as an employee plus adequate liability cover. The existence of such policies shall not prejudice the rights of CWD insurers to exercise any subrogation rights they may have.

18)
LAW GOVERNING
Any contract, quotation or offer of contract shall be deemed to have been made in the United Kingdom and shall be governed in all respects by British Law. Any litigation by the Client shall be persued only in the British courts.

19) NOTICES
Any notices required to be given to CWD persuant to these terms must be given or confirmed in writing to the Company's registered office which is located at 3/4, St Mary Street, Cardigan, Ceredigion. SA43 1HA.
